These Terms and Conditions (“Terms”) govern your access to and use of the TokenizedAgentics website, memberships, dashboards, wallet-linked agent tools, chat tools, verification tools, receipts, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. What TokenizedAgentics Is
TokenizedAgentics is a software platform for creating, managing, and using wallet-bound AI agents.
The Services may include:
- wallet-linked agent creation,
- agent naming and organization,
- private agent dashboards,
- wallet switching and wallet labeling,
- optional wallet binding,
- optional verification or receipt-related features,
- membership access and account tools,
- related support and administrative functions.
TokenizedAgentics is a software and workflow platform. It is not a bank, wallet custodian, brokerage, legal adviser, employment agency, or government registry.
2. Eligibility
You must be at least 18 years old, or the age of legal majority where you live, to use the Services.
If you use the Services on behalf of a company, team, or organization, you represent that you have authority to bind that entity to these Terms.
You are solely responsible for complying with laws, rules, and regulations that apply to your use of the Services.
3. Accounts, Memberships, and Access
Some features require an account, a paid membership, a connected wallet, or all three.
You agree to:
- provide accurate and current information,
- maintain the security of your account credentials and connected tools,
- restrict unauthorized use of your account,
- notify us promptly of suspected unauthorized access, and
- accept responsibility for activity under your account.
We may suspend or restrict access if we believe an account is inaccurate, compromised, abusive, or in violation of these Terms.
4. Wallet-Bound Agent Model
TokenizedAgentics uses a wallet-bound model for certain features. That means agents, access, or visibility may be associated with the wallet you connect or bind.
You are solely responsible for:
- choosing and controlling your wallet,
- safeguarding your keys, seed phrase, passwords, and devices,
- confirming the correct wallet address and network,
- understanding that changing or disconnecting wallets may affect which agents you can view or use,
- understanding that owner rotation or wallet reassignment features may affect access if used.
We are not responsible for losses caused by compromised wallets, phishing, user error, wrong-address activity, unsupported networks, or third-party wallet failures.
5. AI Output and Agent Behavior
The Services may allow you to interact with AI agents, prompts, chats, outputs, workflows, or generated responses.
You understand and agree that:
- AI outputs may be incomplete, inaccurate, offensive, outdated, or unsuitable for your use case,
- generated content is provided for informational or operational assistance only,
- you remain solely responsible for reviewing, approving, and using any output,
- TokenizedAgentics does not guarantee any specific result, performance level, business outcome, or accuracy.
You should not rely on the Services as the sole basis for legal, financial, medical, safety-critical, or compliance decisions.
6. Verification and Receipt Features
The Services may include optional verification-related features, such as wallet binding, image capture, identity-check flows, third-party verification alternatives, and receipt generation.
These features are provided to support platform workflows and records. Unless expressly stated otherwise in writing, they do not guarantee legal identity, age, citizenship, regulatory status, or universal third-party acceptance.
You are responsible for ensuring that any document, image, selfie, or information you submit is accurate and lawfully provided.
7. User Responsibilities
You agree not to:
- submit false, forged, or misleading information,
- impersonate another person,
- use the Services for unlawful, harmful, deceptive, or abusive purposes,
- interfere with platform security, functionality, or availability,
- scrape, reverse engineer, or exploit the Services except as allowed by law,
- upload malware or malicious code,
- infringe privacy, confidentiality, publicity, or intellectual property rights.
We may investigate suspected misuse and may suspend, restrict, or terminate access where appropriate.
8. User Content
You may submit prompts, chats, labels, names, files, images, verification materials, support messages, and related materials (“User Content”).
You retain ownership of your User Content, but you grant TokenizedAgentics a limited, non-exclusive, worldwide license to host, process, store, reproduce, display, and use that content as reasonably necessary to provide, secure, maintain, improve, and support the Services, enforce these Terms, and comply with law.
You represent that you have all rights and permissions necessary to submit User Content.
9. Memberships and Paid Features
Some parts of the Services require a paid membership or paid feature access.
A paid membership gives access only to the features included in that plan. It does not guarantee:
- uninterrupted service,
- compatibility with every wallet or device,
- continued support for every external provider,
- that any agent, wallet, or verification flow will always remain available in the same form.
Refunds, renewals, and payment rules are governed by the Refund and Billing Policy, if posted.
10. Third-Party Services
The Services may rely on or connect to third-party services such as:
- wallets,
- payment processors,
- blockchain infrastructure,
- verification providers,
- ID.me or similar identity providers,
- hosting providers,
- analytics vendors,
- storage and communications tools.
We do not control and are not responsible for third-party uptime, pricing, privacy practices, security, or performance. Your use of third-party services is governed by their own terms and policies.
11. Intellectual Property
The Services, including software, branding, workflows, interfaces, text, graphics, design, and related materials, are owned by TokenizedAgentics or its licensors and are protected by law.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purposes.
12. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available.”
We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, quiet enjoyment, and results.
We do not warrant that:
- the Services will be uninterrupted, secure, or error-free,
- every wallet integration will function at all times,
- every verification attempt will succeed,
- every AI output will be accurate or useful,
- every feature will remain available in every version of the platform.
13. Limitation of Liability
To the fullest extent permitted by law, TokenizedAgentics and its affiliates, owners, licensors, service providers, and personnel will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, loss of data, loss of goodwill, business interruption, lost access, model-output issues, wallet-loss issues, or third-party claims arising from or related to the Services.
Our total liability for any claim relating to the Services will not exceed the greater of:
- the amount you paid us in the 12 months before the event giving rise to the claim, or
- USD $100.
14. Indemnification
You agree to defend, indemnify, and hold harmless TokenizedAgentics and its affiliates, owners, officers, contractors, licensors, and service providers from and against claims, liabilities, losses, damages, judgments, and expenses arising out of or related to:
- your use of the Services,
- your User Content,
- your prompts, agent activity, or verification submissions,
- your violation of these Terms,
- your violation of law or third-party rights.
15. Suspension and Termination
You may stop using the Services at any time.
We may suspend, restrict, or terminate access at any time if we believe you violated these Terms, created legal or security risk, failed to pay required fees, or used the Services in a harmful or unlawful manner.
Sections that by their nature should survive termination will survive.
16. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, unless applicable law requires otherwise.
17. Dispute Resolution
Before filing a formal claim, you agree to first contact us and attempt to resolve the dispute informally in good faith.
If a dispute cannot be resolved informally, it shall be brought exclusively in the state or federal courts located in Wyoming, unless applicable law requires a different forum.
18. Changes to These Terms
We may update these Terms from time to time. The updated version becomes effective when posted, unless otherwise stated. Your continued use of the Services after revised Terms are posted constitutes acceptance of the updated Terms.
